1. Acceptance of Terms
Welcome to SynapseVector. These Terms of Service ("Terms") govern your access to and use of the SynapseVector website, platform, and all associated services, content, and products (collectively, the "Services"). By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.
These Terms constitute a legally binding agreement between you (referred to as "you," "your," or "User") and SynapseVector (referred to as "we," "us," "our," or "Company"). We reserve the right to update, modify, or replace any part of these Terms at our sole discretion. It is your responsibility to check these Terms periodically for changes. Your continued use of the Services following the posting of any changes constitutes acceptance of those changes.
If you are accessing the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" and "your" will refer to that entity.
2. Description of Services
SynapseVector is an online education platform that provides self-paced learning programs, educational video content, online lectures, structured learning modules, study guides, and digital learning resources (collectively, "Learning Materials"). Our platform is designed to facilitate independent, flexible learning for individuals, professionals, and lifelong learners.
The Services include but are not limited to:
- Access to self-paced online courses across various professional and personal development categories
- Educational video materials including recorded lessons, tutorials, and explanatory content
- Online lectures and structured learning modules organized by topic and difficulty level
- Study guides, reference documents, cheat sheets, and supplementary digital learning resources
- Platform features including progress tracking, course navigation, and material organization
- Customer support related to platform access, account management, and technical issues
We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.
3. User Accounts and Registration
To access certain features of our Services, you may be required to create an account. When creating an account, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding the password associated with your account and for all activities or actions that occur under your account.
You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. You may not use another person's account without permission.
We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion if we believe that user conduct violates applicable law or is harmful to the interests of other users, third parties, or SynapseVector.
3.1 Account Eligibility
You must be at least 18 years of age, or the age of legal majority in your jurisdiction (whichever is greater), to create an account and use the Services. By creating an account, you represent and warrant that you meet this age requirement. If we learn or have reason to suspect that a User does not meet this age requirement, we may terminate the User's account immediately.
3.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials. You agree to immediately notify SynapseVector of any unauthorized use of your account or any other security breach. SynapseVector will not be liable for any loss or damage arising from your failure to comply with this section.
4. Intellectual Property Rights
All content included in or made available through the Services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, digital downloads, data compilations, software, and Learning Materials, is the exclusive property of SynapseVector or its content suppliers and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
The compilation of all content on the Services is the exclusive property of SynapseVector and is protected by United States and international copyright laws. All software used in connection with the Services is the property of SynapseVector or its software suppliers and is protected by United States and international copyright laws.
4.1 Limited License
Subject to these Terms, SynapseVector grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services and Learning Materials for your personal, non-commercial educational purposes. This license does not include the right to collect or use any product listings, descriptions, or prices; make any derivative use of the Services or Learning Materials; download, copy, or otherwise distribute Learning Materials for any purpose other than personal study; use any data mining, robots, or similar data gathering and extraction tools; or use the Services or Learning Materials in any way that could damage, disable, overburden, or impair the Services.
4.2 Prohibited Uses
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Learning Materials or content available through our Services without the prior written consent of SynapseVector, except as may be explicitly permitted by these Terms. You may not use any content from the Services for any commercial purpose without obtaining a license to do so from SynapseVector.
5. Payment Terms
Certain aspects of the Services may be provided for a fee or other charge. If you elect to use paid aspects of the Services, you agree to the pricing and payment terms as presented to you at the time of purchase, which we may update from time to time. SynapseVector may add new services for additional fees and charges, or amend fees and charges for existing services, at any time in its sole discretion.
All payments are processed through secure third-party payment processors. By providing payment information, you represent and warrant that you are authorized to use the payment method provided and that you authorize us to charge the applicable fees to that payment method. All fees are stated in United States Dollars (USD) unless otherwise specified.
You are responsible for any applicable taxes associated with your purchase. Failure to pay applicable fees may result in the suspension or termination of your access to the applicable paid Services.
6. User Conduct
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services in any way that violates any applicable federal, state, local, or international law or regulation. You agree not to use the Services to engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which may harm SynapseVector or users of the Services.
Additionally, you agree not to:
- Share your account credentials with any other person or allow unauthorized access to your account
- Attempt to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks connected to the Services through hacking, password mining, or any other means
- Use any automated system, including without limitation robots, spiders, or offline readers, to access the Services in a manner that sends more request messages to the SynapseVector servers than a human can reasonably produce in the same period
- Interfere with or disrupt the Services or servers or networks connected to the Services
- Transmit any viruses, worms, defects, Trojan horses, or other items of a destructive nature
- Use the Services to send unsolicited promotional or commercial content
- Impersonate or misrepresent your affiliation with any person or entity
- Attempt to reverse-engineer, decompile, or disassemble any software or technology used to provide the Services
7. Disclaimer of Warranties
THE SERVICES AND ALL LEARNING MATERIALS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SYNAPSEVECTOR DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
SynapseVector makes no representations or warranties about the accuracy, completeness, or usefulness of any Learning Materials or other content available through the Services. Any reliance you place on such information is strictly at your own risk. SynapseVector disclaims all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Services.
We do not guarantee any specific outcomes or results from using our Learning Materials or Services. Educational outcomes depend on numerous factors beyond our control, including but not limited to individual effort, prior knowledge, and application of learned concepts.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SYNAPSEVECTOR, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
9. Indemnification
You agree to defend, indemnify, and hold harmless SynapseVector and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.
10. Termination
We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may do so by contacting us.
All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity provisions, and limitations of liability.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any legal action or proceeding relating to your access to or use of the Services shall be instituted in a state or federal court in Travis County, Texas, and you agree to submit to the jurisdiction of, and agree that venue is proper in, these courts.
Any dispute arising from or relating to these Terms or the Services shall first be resolved through good faith negotiation. If the dispute cannot be resolved through negotiation, either party may pursue mediation or binding arbitration in accordance with the rules of the American Arbitration Association.
12. Miscellaneous Provisions
12.1 Entire Agreement
These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and SynapseVector regarding the use of the Services, superseding any prior agreements between you and SynapseVector relating to the Services.
12.2 Waiver and Severability
The failure of SynapseVector to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.
12.3 Assignment
You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, by operation of law or otherwise, without our prior written consent. SynapseVector may assign these Terms at any time without notice or consent.
12.4 Notices
Any notices or other communications permitted or required hereunder will be in writing and given by SynapseVector via email or through the Services. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.
